Alumni Pathways Product-Specific Terms of Service
These Product-Specific Terms of Service are incorporated into and made part of the General Terms of Service between Customer and Lightcast. In the event of a conflict between these Product-Specific Terms of Service and the General Terms of Service, these Product-Specific Terms of Service will govern with respect to the subject matter herein.
1.1 License to Lightcast.
If Customer elects to submit Institution Alumni Data, Lightcast will perform Institution Alumni Data Submission services as described in Section 1.5. Customer grants to Lightcast a non-exclusive, non-transferable, non-assignable, limited license to access, use, and store Institution Alumni Data solely for the purpose of providing the Software Services and/or Consulting Services.
1.2 Authorization to National Student Clearinghouse.
By purchasing Customer authorizes the National Student Clearinghouse to disclose Personal Information from Customer’s education records directly to Lightcast for inclusion in Lightcast’s Alumni product offerings. Such data will be used solely for the delivery of Software Services and Consulting Services, as applicable.
- System-Level Authorization. In the event Customer is a System, Customer authorizes the National Student Clearinghouse to disclose Personal Information from an Institution’s education records directly to Lightcast. Lightcast is hereby designated as a school official for each applicable Institution under the Family Educational Rights and Privacy Act ("FERPA"). The System represents and warrants that it possesses the full authority to grant such access and has verified that Lightcast satisfies the criteria to serve as a school official.
1.3 National Student Clearinghouse Data Use (if applicable).
To the extent that National Student Clearinghouse data is used to deliver Software Services or Consulting Services, such data shall not be used by either Lightcast or Customer for targeted advertising or outreach by or on behalf of a postsecondary institution to students currently or previously enrolled at another institution, for purposes of enrollment or transfer. This restriction does not apply to communications between a postsecondary institution and its own former students, provided they are not currently enrolled elsewhere.
1.4 FERPA Compliance.
- 1.4.1 Designation as School Official.
Lightcast shall perform services that Customer would otherwise use its employees to perform and is therefore designated as a “school official” with a legitimate educational interest under FERPA (20 U.S.C. § 1232g; 34 CFR Part 99.3). - 1.4.2 Compliance Requirements.
Lightcast agrees to: - Use education records only for the purposes expressly authorized in this Agreement;
- Remain under the direct control of Customer with respect to the use and maintenance of education records;
- Not re-disclose any personally identifiable information without written authorization from Customer;
- Report any noncompliance with FERPA to Customer immediately upon discovery.
1.5 Institution Alumni Data Submission Scope of Work.
To maximize the value of the Software Services and Consulting Services, Customer is encouraged to submit Alumni Data upon initial onboarding and at least annually. If authorized, National Student Clearinghouse data may substitute for the data described below, but may result in reduced functionality.
- 1.5.1 Program Information.
Customer shall provide the following for each program: - Internal Program Code
- Program Name
- Degree Level
- CIP Code
- Academic Unit (e.g., college, school, division)
- Academic Sub-unit (e.g., department)
- 1.5.2 Alumni System Data (via secure transfer):
- Student ID or unique equivalent
- First Name, Middle Name, Last Name
- Date of Birth, Gender
- Email(s), Phone Number(s), Mailing Address(es)
- Degree/Program Award Date and Graduation Year
- 1.5.3 Optional Student Information System Data (depending on Customer needs):
- Ethnicity
- Additional program identifiers corresponding to Section 1.5.1
- 1.5.4 Renewal Term Submissions.
For each Renewal Term, if Alumni Data is not submitted within fifteen (15) business days of the anniversary of the Effective Date (or another mutually agreed upon date), Lightcast will continue to use the most recent data previously submitted. - 1.5.5 Mapping and Updates.
When subsequent data submissions are mapped or remapped to newer employment outcomes data, the newly uploaded data will replace the previous version and will be immediately available in the software. - 1.5.6 Secure Access to Personally Identifiable Data.
Lightcast will provide Customer with a secure method for the transfer and access of data files containing personally identifiable information.
1.6 Data Destruction.
Lightcast agrees to destroy all student information received from Customer and/or the National Student Clearinghouse (if applicable) within sixty (60) days of the expiration of the Term of the Order Form.
